- The platform is an intermediary and marketing channel; you are the seller. The buyer concludes the purchase contract with you, and you bear full and exclusive responsibility for the products and all obligations arising from the sale.
- Only companies and entrepreneurs registered in the EU/EEA can sell, to buyers in the country where they operate.
- The initial commission is 5% of the value of delivered products (excluding delivery); it is invoiced monthly.
- You accept or reject an order within 48 hours; a purchase initiated on the platform must be completed through the platform.
Parties and Subject
These terms govern the relationship between Nexys Srl, Galleria Arrigo Protti 2, 34121 Trieste, Italia, P. IVA 01447020320, Codice univoco (SDI) N92GLON (the platform) and the company or entrepreneur selling on furnituria.co (the seller). Only merchants registered in an EU or EEA member state may sell on the platform. By registering and using the seller panel, you accept these terms. These terms are general terms within the meaning of Regulation (EU) 2019/1150 on fairness and transparency for business users of online intermediation services.
Platform's Role and Seller's Responsibility
- The platform provides intermediation and marketing services: product display, room try-on, order transmission, sales and advertising tools. The platform is not a seller, does not buy or resell goods, and is not a party to the purchase contract between the seller and the buyer.
- The seller bears full and exclusive responsibility for the products offered and for all obligations arising from the sale: accurate and complete information about the product and price, product safety and compliance with regulations, declarations and instructions, delivery, invoicing and taxes, receipt of payments, contract withdrawal, conformity (complaints), warranty, liability for product damage, as well as for all obligations towards customers and authorities.
- The seller is obliged to indemnify and hold harmless the platform from all claims by customers, authorities, and third parties (including fines, damages, and reasonable legal representation costs) arising from their products, offer, sale, or violation of these terms and regulations.
- The seller must not create the impression in their offer or communication with the buyer that the goods are being sold by the platform.
Seller Registration and Data
- Before starting sales, the seller enters accurate data: name, address, phone and email, business registration number, VAT number, IBAN, and WhatsApp number. By registering, the seller confirms that they only offer products that comply with EU regulations (Digital Services Act, Regulation (EU) 2022/2065).
- The platform may request proof (e.g., an extract from the register or a representative's personal document) and may reject the registration or suspend sales until the data is complete and accurate. The seller must report any change in data without delay.
- The seller's name, address, VAT number, and contact information are displayed to buyers on the shop page and in the order confirmation.
- The seller can add team members and is responsible for their actions in the panel.
Offer, Information, and Product Safety
- Prices (final, with all taxes), stock, measurements, descriptions, and photos must be accurate and up-to-date. The seller is responsible for all information required by consumer protection regulations before the conclusion of the contract, including delivery time and exceptions to the right of withdrawal (e.g., custom-made furniture).
- The seller is responsible for ensuring that products comply with EU regulations on general product safety (Regulation (EU) 2023/988) and other regulations for that type of goods. The product description must include the manufacturer (name and address), and when the manufacturer is not from the EU, the responsible person in the EU; product identification data (type, model, series) and warnings and safety information in the language of the buyer's country.
- The seller grants the platform a non-exclusive, free license to display photos and descriptions on the site, in platform advertisements, and in the room try-on feature (AI-generated illustration), and is responsible for having the necessary rights for them.
- The platform may hide a product that violates regulations or these terms, or for which a competent authority requests it, and will inform the seller with an explanation.
Orders, Delivery, and Obligations to the Buyer
- You sell and deliver to buyers in the country where your shop operates.
- You accept or reject an order within 48 hours; you will see delivery details after acceptance.
- You deliver goods within the timeframe stated in the shop, issue an invoice according to your country's tax regulations, and enter the shipment tracking number (or report the shipment to the courier via the panel).
- You respect consumer rights: withdrawal within 14 days (Directive 2011/83/EU) and responsibility for lack of conformity for at least 2 years (Directive (EU) 2019/771), within the timeframes and in the manner prescribed by the law of the buyer's country. Withdrawals and complaints sent by the buyer to the platform will be forwarded to you; the obligation to resolve them remains yours.
- The platform asks the customer if the order has arrived; any disagreement between the seller and the customer will be checked.
Commission and Billing
- Initial commission is 5% of the value of delivered products, excluding delivery costs, after discounts, and applies to all sellers.
- Depending on sales volume, the rate changes by agreement between the platform and the seller. The agreed rate is valid from the agreed date and only for orders received from that day; the seller receives confirmation by email, and sees the valid rate in the panel and on each invoice.
- The invoice for the previous month is issued by the platform on the first day of the month, with a payment term of 15 days. For sellers from another member state with a valid VAT number, the commission is invoiced without VAT, with reverse charge (Art. 196 of Directive 2006/112/EC); for sellers from Italy — with Italian VAT.
- If an invoice is not paid even 7 days after the due date, products are removed from sale until payment is made. Returned goods after invoicing reduce the next invoice.
- For sellers who sell on their own website (partners), commission is calculated on sales reported by tag or manually, according to a special agreement.
Room trial — tokens
- The platform enables room trials (AI-powered product visualization in the customer's space) for the customer. The first trial per customer per day is paid for by the platform (1 per day per customer, i.e., IP address); every subsequent trial involving a seller's product is paid for by the seller using tokens. Tokens are independent of sales commissions: the commission from the "Commission and billing" section remains unchanged, and tokens are paid for separately, in advance.
- One token is one trial. Clearing the room and furnishing that same room in the same trial count as one trial; a failed trial is not charged. When a trial consists of multiple products from different sellers, the token is paid by the first seller in the trial (in the order the customer selected the products) who has available trials.
- Tokens are purchased in advance in the seller panel, in packages: 500 trials for 125,00 €, 1000 trials for 225,00 € (−10 %), 2000 trials for 425,00 € (−15 %), 5000 trials for 1.000,00 € (−20 %) and 10000 trials for 1.750,00 € (−30 %). The price per token in the basic package is 0,25 €; larger packages have a discount. You pay by card in your panel, in euros, and the platform sends a payment confirmation by email. Tokens do not expire, cannot be transferred to another seller, and are non-refundable, unless the platform permanently discontinues the room trial feature — in that case, unused tokens are refunded proportionally to the price paid.
- In the dashboard, the seller chooses how many trials per day they allow one customer (IP address); the default is 3. Token protection: the customer starts a trial (and 3D room plan) only for products they have added to the cart; only logged-in customers with a verified email address try them at the seller's expense; the same customer can try the same product at the seller's expense at most 3 times in 7 days; and no more tokens are spent daily than the seller determines in the dashboard (default 30; 0 = no limit) — after that, customers only try their products in the free daily trial for the rest of the day. The platform may introduce other anti-abuse measures, such as verifying that the trial is not started by an automated program. When a seller has no tokens, customers only try their products within the free daily trial. The seller receives a notification by email and in the app when they have 70 %, 50 %, 30 %, 10 %, and 0 % of tokens remaining from the last top-up.
- The trial result is an AI-generated illustration; the platform does not guarantee the accuracy of the visualization, and the seller is responsible for the accuracy of the photos, measurements, and product descriptions upon which the trial is based. The platform may change token prices with at least 15 days' notice to sellers; already purchased tokens remain valid regardless of the change.
Product Order and Display
In search, the order primarily depends on the match with the buyer's query (a match in the name takes precedence over the description), and then on the number of sales. In categories, the default order is determined by the platform; the buyer can change it using sorting and filters. Products available in the buyer's country are displayed. A better position cannot be paid for, and the commission amount does not affect the order.
Data Access
In the panel, the seller sees their orders, customer data required for delivery (only after accepting the order), reviews, and aggregated statistics for their products (views, try-ons, cart, sales). The platform has access to data on all orders and platform operations and uses them for operation, security, and service improvement; it does not share one seller's data with other sellers. The seller may request a copy of their order data even after the collaboration ends.
Prohibition of Platform Circumvention
A customer who found the seller through the platform (including video calls, WhatsApp messages, and showroom visits scheduled via the website) purchases through the platform, as the platform bears the cost of finding the customer and the in-room try-on. Directing a customer to purchase outside the platform to avoid commission is a serious breach of terms: the platform may block the store and charge commission on such sales.
Customer Personal Data
- For data received for delivery, invoicing, and complaints, the seller is an independent data controller and complies with the General Data Protection Regulation (Regulation (EU) 2016/679).
- You use customer data exclusively for that order. Sending advertisements to the customer, selling or transferring data is prohibited, unless the customer has given specific consent to the seller for this.
- The seller informs the platform without delay about data breaches (e.g., loss or unauthorized access).
Reviews and Ratings
The seller can publicly respond to a review. Buying, writing, or encouraging fake reviews and pressuring customers is prohibited.
Platform Responsibility
The platform is only responsible for its own mediation service and is not responsible for products, sales, or the seller's obligations to customers and third parties. The platform is not liable for the seller's lost profits or for damages due to temporary site downtime, unless caused intentionally or by gross negligence.
Limitation, Suspension, and Termination
Collaboration is indefinite. The seller may close the store at any time, provided accepted orders are fulfilled and commissions are settled.
If the platform limits or suspends sales (e.g., hides products or blocks the store), it will send an explanation to the seller by email at the latest at that moment. Termination of collaboration by the platform will be announced by email at least 30 days in advance, with an explanation — except when required otherwise by law, in cases of serious or repeated breaches of these terms (e.g., false data, unsafe or illegal products, circumvention of the platform), and in cases of non-payment after a warning.
Complaints
The seller sends complaints about platform decisions, technical issues, and other questions to [email protected]. We consider the complaint without delay and respond by email. For out-of-court dispute resolution, parties may mutually agree to choose a mediator.
Amendments, Language, and Governing Law
We inform sellers of changes to the terms by email at least 15 days before they come into effect; a seller who does not agree with the changes may terminate collaboration before that date. If language versions differ, the English version shall prevail. The law of Italy applies; the court in Trieste (Tribunale di Trieste) has jurisdiction over disputes.
